1. Acceptance of These Terms

Welcome to wordserveliterary.com (the “Site”), operated by WordServe Literary (“WordServe,” “we,” “our,” or “us”). These Terms and Conditions (the “Terms”) govern your access to and use of the Site, including any content, features, services, downloads, book information, author pages, newsletters, event information, digital materials, and related online services offered through the Site.

By accessing or using the Site, you agree to be bound by these Terms and by any additional terms, policies, or guidelines posted on the Site. If you do not agree, you should not access or use the Site.

2. Changes to These Terms

We may update, revise, or replace these Terms from time to time. Changes are effective when posted on the Site unless a later effective date is stated. Your continued use of the Site after changes are posted means you accept the revised Terms. You are responsible for reviewing these Terms periodically.

3. About WordServe Literary

WordServe Literary is a literary agency that promotes and sells authors and their works to publishers. What we represent includes trade, audio, E-book, film and dramatic rights, foreign rights of intellectual property from authors. The Site may provide information about WordServe Literary, its books, authors, news, events, submission opportunities, and related resources. The Site may also link to third-party retailers, distributors, service providers, author platforms, and social media pages.

4. Eligibility and Account Use

You may use the Site only if you are at least the age of majority in your jurisdiction or are using the Site with the consent and supervision of a parent or legal guardian. If the Site offers account registration, newsletter preferences, downloads, purchases, event registration, or other interactive features, you agree to provide accurate information and to keep it current.

You are responsible for all activity under any account or login credentials you create. You agree not to share access credentials, impersonate another person, or use the Site in a way that violates these Terms or applicable law.

5. Website Content and Intellectual Property

All content on the Site, including text, graphics, book descriptions, excerpts, cover images, artwork, logos, trademarks, trade names, page layouts, design elements, videos, audio, downloads, and other materials (collectively, “Content”), is owned by WordServe Literary, its authors, licensors, partners, publishers or other rights holders, unless otherwise stated.

You may view and use the Site for personal, noncommercial, informational purposes only. You may not copy, reproduce, modify, distribute, publish, display, transmit, sell, license, scrape, frame, mirror, create derivative works from, or otherwise exploit any Content without prior written permission from WordServe Literary or the applicable rights holder, except as permitted by law.

All rights not expressly granted are reserved. Nothing on the Site grants any license or right to use any WordServe Literary name, logo, trademark, book title, author name, character, artwork, or copyrighted work without written permission.

6. Books, Excerpts, Downloads, and Digital Materials

The Site may offer book excerpts, reading guides, sample chapters, media kits, discussion questions, teaching materials, newsletters, printable materials, digital downloads, or other resources. Unless otherwise stated, such materials are provided for personal, educational, review, promotional, or internal reference use only.

You may not remove copyright notices, alter attribution, resell downloads, upload materials to public repositories, use materials to train artificial intelligence systems without authorization, or distribute materials beyond the stated permissions. Additional restrictions may apply to specific resources.

7. Purchases, Preorders, Retailer Links, and Availability

The Site may describe books available for purchase, preorder, subscription, download, or distribution through WordServe Literary or third-party retailers. Product descriptions, pricing, availability, release dates, formats, shipping information, and promotional offers may change without notice.

If purchases are completed through a third-party retailer or distributor, that third party’s terms, privacy policy, refund policy, shipping policy, and customer-service processes apply. WordServe Literary is not responsible for third-party checkout systems, fulfillment delays, payment processing, shipping, taxes, refunds, returns, or retailer errors unless expressly stated in writing by WordServe Literary.

If WordServe Literary sells products or services directly through the Site, additional checkout, refund, cancellation, shipping, tax, subscription, digital-delivery, and payment terms may be presented at the point of purchase and are incorporated into these Terms.

8. Submissions, Manuscripts, Comments, and User Content

The Site may allow users to submit messages, inquiries, comments, reviews, manuscripts, proposals, sample chapters, testimonials, photos, event information, or other materials (“User Content”). You are solely responsible for your User Content and represent that you have all rights needed to submit it.

Unless a separate written agreement states otherwise, unsolicited manuscripts, book proposals, creative ideas, story concepts, titles, artwork, marketing ideas, or similar materials submitted through the Site are not confidential and may not be reviewed, returned, acknowledged, or compensated. WordServe Literary is not obligated to accept, publish, represent, evaluate, maintain, or respond to any submission.

By submitting User Content, you grant WordServe Literary a nonexclusive, worldwide, royalty-free, transferable, sublicensable license to use, host, reproduce, display, publish, distribute, modify, adapt, excerpt, and otherwise process the User Content as reasonably necessary to operate the Site, respond to your inquiry, consider your submission, administer programs, promote books or events, and enforce these Terms.

You agree not to submit User Content that is unlawful, defamatory, harassing, threatening, abusive, obscene, infringing, invasive of privacy, misleading, spam, malicious, or otherwise objectionable. We may remove, edit, refuse, or disable access to User Content at any time in our discretion.

9. Author, Agent, Reviewer, Educator, and Media Inquiries

Information provided on the Site regarding submissions, author services, media requests, review copies, events, speaking engagements, bulk orders, or educational use is for general guidance only. WordServe Literary may accept, decline, prioritize, or discontinue programs or opportunities at its discretion.

No communication through the Site creates a publishing agreement, agency relationship, employment relationship, confidentiality obligation, professional relationship, partnership, or other binding obligation unless confirmed in a separate written agreement signed by an authorized representative of WordServe Literary.

10. Copyright Complaints and Permissions

WordServe Literary respects intellectual property rights. If you believe that material on the Site infringes your copyright or other rights, please contact us with enough information to identify the work, the allegedly infringing material, your contact information, and a statement that you believe in good faith that the use is unauthorized.

Requests to quote, reprint, adapt, translate, reproduce, perform, display, license, or otherwise use WordServe Literary content, book excerpts, cover art, author photos, or related materials should be submitted through the contact information provided on the Site. Permission is not granted unless confirmed in writing.

11. Acceptable Use

You agree not to use the Site to: (a) violate any law or regulation; (b) infringe or misappropriate any intellectual property, privacy, publicity, or other rights; (c) transmit malware, harmful code, spam, or deceptive content; (d) attempt to gain unauthorized access to systems, accounts, or data; (e) interfere with the security or operation of the Site; (f) scrape, crawl, harvest, or copy content through automated means without permission; (g) use the Site for fraudulent, misleading, abusive, or commercial solicitation purposes; or (h) encourage others to do any of the foregoing.

12. Third-Party Websites and Services

The Site may link to third-party websites, retailers, payment processors, newsletter platforms, social media services, analytics providers, video platforms, event platforms, advertisers, or other services. Links are provided for convenience only and do not imply endorsement.

WordServe Literary does not control and is not responsible for third-party websites or services, including their content, availability, security, privacy practices, pricing, fulfillment, advertising, statements, or terms. Your use of third-party services is at your own risk and subject to their terms and policies.

13. Privacy

Our collection, use, storage, and sharing of personal information is described in our Privacy Policy, if available on the Site. By using the Site, submitting information, subscribing to communications, or interacting with Site features, you acknowledge that information may be processed as described in the applicable Privacy Policy.

If WordServe Literary does not yet have a Privacy Policy, one should be created and posted separately, especially if the Site collects newsletter signups, analytics data, cookies, form submissions, purchase information, user accounts, or other personal information.

14. Email, Newsletters, and Communications

If you sign up for newsletters, updates, promotional emails, event notices, or other communications, you agree that WordServe Literary may send you such communications using the contact information you provide. You may unsubscribe from marketing emails using the unsubscribe instructions in the email or by contacting us.

Transactional, administrative, legal, security, or service-related messages may still be sent where permitted by law.

15. Contests, Promotions, Events, and Special Programs

From time to time, WordServe Literary may offer contests, giveaways, promotions, virtual events, in-person events, review-copy programs, reader groups, launch teams, or other special programs. Such activities may be subject to additional official rules, eligibility requirements, deadlines, permissions, release forms, privacy terms, or platform requirements.

If there is a conflict between these Terms and specific rules for a promotion or event, the specific rules will control for that promotion or event.

16. Disclaimers

The Site and all Content are provided on an “as is” and “as available” basis without warranties of any kind, express or implied. To the fullest extent permitted by law, WordServe Literary disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and uninterrupted or error-free operation.

WordServe Literary does not warrant that the Site will be secure, available, accurate, complete, current, free of viruses or harmful components, or compatible with your devices or systems. Content may contain errors, omissions, typographical mistakes, outdated information, or third-party information for which WordServe Literary is not responsible.

Book descriptions, release dates, author biographies, endorsements, rankings, reviews, promotional claims, and availability information may change and are not guaranteed.

17. Limitation of Liability

To the fullest extent permitted by law, WordServe Literary and its owners, officers, directors, employees, contractors, authors, licensors, partners, service providers, affiliates, successors, and assigns will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, loss of goodwill, or cost of substitute services, arising out of or relating to the Site, Content, purchases, submissions, third-party services, or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by law, WordServe Literary’s total liability for any claim arising out of or relating to the Site or these Terms will not exceed the greater of: (a) the amount you paid directly to WordServe Literary through the Site for the product or service giving rise to the claim during the three months before the claim arose; or (b) one hundred U.S. dollars (US $100).

18. Indemnification

You agree to defend, indemnify, and hold harmless WordServe Literary and its owners, officers, directors, employees, contractors, authors, licensors, partners, service providers, affiliates, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) your use or misuse of the Site; (b) your User Content; (c) your violation of these Terms; (d) your violation of any law or third-party right; or (e) your conduct in connection with the Site.

19. Termination and Suspension

We may suspend, restrict, or terminate your access to all or part of the Site at any time, with or without notice, if we believe you have violated these Terms, created risk or possible legal exposure, misused the Site, or acted in a way that may harm WordServe Literary, users, authors, partners, or third parties.

Sections that by their nature should survive termination will survive, including intellectual property, User Content licenses, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and general provisions.

20. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in [Insert County and State], unless applicable law requires otherwise.

Before filing a claim, you agree to first contact WordServe Literary and attempt in good faith to resolve the dispute informally. This section should be reviewed by legal counsel and customized for WordServe Literary’s location, business structure, and preferred dispute-resolution approach.

21. International Users

The Site may be accessed from locations outside the United States. WordServe Literary makes no representation that the Site or Content is appropriate or available in every jurisdiction. You are responsible for complying with local laws. Accessing the Site from jurisdictions where the Site or Content is illegal is prohibited.

22. No Waiver; Severability; Assignment

Failure by WordServe Literary to enforce any provision of these Terms will not be a waiver of that provision or any other provision. If any provision is held invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. WordServe Literary may assign these Terms in connection with a merger, acquisition, sale of assets, reorganization, change of control, or by operation of law.

23. Entire Agreement

These Terms, together with any policies, notices, purchase terms, contest rules, submission guidelines, or other terms incorporated by reference, constitute the entire agreement between you and WordServe Literary regarding the Site and supersede any prior or contemporaneous understandings regarding the Site.
